Terms of Service

1. Introduction

Welcome to PulseManaged Limited ("PulseManaged", "we", "our", or "us"). By using our services, you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree, you must not use our services.

2. Services Provided

PulseManaged provides IT managed services, including but not limited to:

  • Remote monitoring and management (RMM)
  • IT support and helpdesk services
  • Cloud hosting and backup solutions
  • Cybersecurity protection
  • IT consultancy and project management
  • Hardware and software procurement

Services are provided according to the relevant Service Level Agreement (SLA) and specific contracts where applicable.

3. Fees and Payment

  • All services are subject to the fees outlined in your agreement or proposal.
  • Invoices are payable within the terms stated; failure to pay may result in service suspension or termination.
  • Recurring services are billed monthly unless otherwise stated.
  • All prices are exclusive of VAT unless explicitly specified.

4. Client Responsibilities

  • Provide necessary access to systems, networks, and personnel to enable service delivery.
  • Ensure compliance with software licensing requirements.
  • Maintain secure passwords and protect systems against unauthorised access.

5. Confidentiality and Data Protection

PulseManaged complies with UK GDPR regulations. All client data is processed securely and kept confidential. We will not disclose your information to third parties without your consent unless required by law.

6. Service Levels

Service response times and performance targets are outlined in our separate Service Level Agreement (SLA), which forms part of these Terms. If we fail to meet SLA commitments, service credits may be available as detailed within the SLA.

7. Liability and Limitations

  • PulseManaged shall not be liable for indirect, consequential, or incidental losses, including loss of profits or data.
  • Our total liability is limited to the fees paid by you in the preceding three (3) months.
  • We are not responsible for failures caused by third-party providers or events beyond our control (Force Majeure).

8. Termination

  • Either party may terminate the agreement with 30 days' written notice.
  • PulseManaged may terminate services immediately in cases of breach of these Terms or non-payment.
  • Upon termination, all outstanding fees must be settled, and any PulseManaged-owned materials returned or deleted.

9. Intellectual Property

PulseManaged retains ownership of all proprietary tools, software, and documentation provided during the term of the agreement, unless otherwise agreed in writing. Clients receive a non-exclusive, non-transferable licence to use such tools during their service term.

10. Third-Party Services

We may engage trusted third-party vendors or subcontractors to deliver services. PulseManaged remains responsible for service quality but is not liable for failures attributable to third-party software, hardware, or vendors beyond our control.

11. Amendments

We may update these Terms from time to time. Clients will be notified of significant changes, and continued use of our services after notification constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
